Section 1

Acceptance of These Terms

These Website Terms of Use (“Terms”) govern access to and use of the website operated by Sigma Fleet Services (“Sigma,” “we,” “us,” or “our”) at www.sigmafleetservices.com, including its pages, forms, content, features, and related online services (collectively, the “Website”).

By accessing or using the Website, submitting information through it, or clicking a button or checkbox indicating acceptance, you agree to these Terms and acknowledge Sigma’s Privacy Policy.

If you use the Website on behalf of a company, motor carrier, fleet operator, contractor, or other organization, you represent that:

  • You are authorized to act on its behalf;
  • You have authority to provide the information submitted;
  • You have authority to bind the organization where the applicable workflow indicates agreement; and
  • The organization accepts these Terms.

If you do not agree to these Terms, do not use the Website.

Section 2

Commercial Purpose and Eligibility

The Website is intended primarily for commercial fleet operators, motor carriers, delivery contractors, businesses, and their authorized representatives.

You must be at least 18 years old and legally capable of entering into a binding agreement to submit a service request, rental request, payment authorization, or other transaction through the Website.

Submitting information on behalf of another person or organization without authorization is prohibited.

Sigma may refuse access, service, or rental consideration to any person or organization when permitted by law, including where Sigma cannot verify identity, authority, insurance, payment, vehicle eligibility, or compliance with applicable requirements.

Section 3

General Information Only

Information presented on the Website is provided for general business, informational, and service-request purposes.

Website content does not constitute:

  • A binding offer;
  • A guaranteed price or estimate;
  • A confirmed service appointment;
  • A vehicle reservation;
  • A rental agreement;
  • A maintenance agreement;
  • A fleet-management agreement;
  • A warranty;
  • A guarantee of vehicle availability;
  • Legal, regulatory, tax, insurance, safety, mechanical, or compliance advice;
  • A representation that a particular service is available at every location.

Service availability, geographic coverage, vehicle eligibility, rental inventory, rates, fees, scheduling, inspection requirements, technician availability, parts availability, response times, and program scope are subject to review and final confirmation by Sigma.

Sigma may modify, suspend, restrict, or discontinue any Website content, service description, vehicle listing, workflow, or feature at any time without notice.

Section 4

No Appointment or Reservation Created by Submission

Submitting a contact form, service request, rental application, reservation request, document, payment method, or other information through the Website does not, by itself:

  • Create a binding contract;
  • Schedule or confirm a service appointment;
  • Reserve or assign a vehicle;
  • Guarantee that a requested vehicle will be available;
  • Establish a rental period;
  • Require Sigma to accept the request;
  • Require Sigma to perform services;
  • Guarantee a response or completion time.

A service appointment becomes effective only after Sigma expressly confirms the appointment.

A rental reservation becomes effective only after:

1.Sigma reviews the request;
2.An eligible vehicle is selected and assigned;
3.Driver, insurance, payment, and other required documentation is accepted;
4.Any required deposit or authorization is completed;
Section 5

Applicable rental terms are accepted; and

Section 6

Sigma issues final confirmation.

An automated email, form-submission confirmation, reference number, or acknowledgment that Sigma received information is not final acceptance.

5.Vehicle Selection and Temporary Holds

Sigma may use an internal inventory and reservation system to identify a vehicle based on factors including:

  • Vehicle class;
  • Operating location;
  • Requested start date;
  • Estimated return date;
  • Current status;
  • Scheduled maintenance;
  • Mileage;
  • Utilization;
  • Customer requirements;
  • Insurance requirements;
  • Vehicle condition;
  • Operational availability.

Sigma may place a temporary administrative hold on a vehicle while a rental request is reviewed.

A temporary hold:

  • Is not a final reservation;
  • Does not create a property interest in the vehicle;
  • May expire automatically;
  • May be released if documentation, payment, insurance, or approval is not completed;
  • May be withdrawn if the vehicle becomes unavailable, requires repair, is not returned as expected, or is needed for another operational reason.

Sigma may substitute a reasonably comparable vehicle when the originally anticipated unit becomes unavailable. No specific unit, make, model, configuration, mileage, or vehicle feature is guaranteed unless expressly identified in a signed rental agreement.

6.Service Requests, Estimates, and Authorizations

Information submitted through a service-request workflow is preliminary and may not be sufficient to diagnose a vehicle or determine the full scope of work.

Sigma may require:

  • An in-person or remote vehicle evaluation;
  • Diagnostic testing;
  • Photographs or supporting records;
  • Fleet or ownership verification;
  • Additional customer authorization;
  • A deposit or payment method;
  • Approval of an estimate or work order.

Initial estimates are based on information reasonably available at the time and may change after inspection, diagnosis, disassembly, parts review, or discovery of additional conditions.

Unless prohibited by law or a governing written agreement, pricing may include:

  • Labor;
  • Parts;
  • Materials;
  • Diagnostic charges;
  • Shop supplies;
  • Mobile-service or dispatch charges;
  • Towing or roadside costs;
  • Storage;
  • Taxes;
  • Environmental or disposal charges;
  • Third-party costs;
  • Other disclosed fees.

Sigma will obtain additional authorization when required by the applicable agreement or law. Delays in authorization may affect scheduling, parts availability, completion time, and vehicle downtime.

Section 7

Scheduling and Completion Times

Dates and times shown or discussed through the Website are estimates unless Sigma expressly confirms otherwise in writing.

Actual scheduling and completion may be affected by:

  • Vehicle location and accessibility;
  • Technician availability;
  • Parts availability;
  • Diagnostic findings;
  • Customer authorization;
  • Weather;
  • Road conditions;
  • Towing availability;
  • Facility capacity;
  • Supplier delays;
  • Warranty administration;
  • Insurance or claim review;
  • Events outside Sigma’s reasonable control.

Sigma does not guarantee a particular response time, repair duration, completion date, or return-to-service time unless the guarantee is expressly stated in a signed agreement.

Statements concerning uptime, continuity, readiness, or reduced downtime describe Sigma’s service objectives. They are not unconditional performance guarantees.

Section 8

Rental Eligibility

Rental availability and eligibility are subject to Sigma’s review.

Sigma may require:

  • A valid driver’s license;
  • An acceptable driver class and driving history;
  • Proof of identity;
  • Proof of commercial automobile insurance;
  • Required liability, physical-damage, and other insurance coverage;
  • Evidence that Sigma and other required parties are properly protected under the policy;
  • An acceptable payment method;
  • A deposit or recurring-payment authorization;
  • An authorized-driver list;
  • A signed rental agreement;
  • Compliance with age, use, territory, safety, and operating restrictions.

Acceptance of documentation through the Website does not waive any deficiency, misrepresentation, expiration, exclusion, cancellation, or limitation later identified.

Only drivers approved under the applicable rental agreement may operate a Sigma vehicle.

Rental vehicles may not be used:

  • For unlawful activity;
  • By an unauthorized or unqualified driver;
  • Outside an authorized territory;
  • To transport prohibited cargo;
  • In a manner inconsistent with the vehicle’s design or rated capacity;
  • In violation of applicable law, insurance requirements, or the rental agreement;
  • While the driver is impaired, fatigued, distracted, or otherwise unfit to operate the vehicle safely.

The signed rental agreement controls all vehicle-use, insurance, loss, damage, indemnification, payment, default, and return obligations.

Section 9

Insurance Information

Any insurance requirements described on the Website are general summaries.

Customers and renters remain responsible for:

  • Obtaining all required insurance;
  • Confirming that coverage is appropriate for the contemplated operations;
  • Maintaining coverage without interruption;
  • Understanding exclusions, deductibles, limitations, and endorsements;
  • Providing accurate and current evidence of coverage;
  • Promptly notifying Sigma of cancellation, nonrenewal, modification, or a material change.

Sigma’s receipt, review, or acceptance of an insurance document does not constitute legal advice, insurance advice, or a guarantee that the policy provides sufficient coverage.

Sigma may rely on information supplied by the customer, insurer, broker, agent, or representative without independently determining the legal sufficiency of the coverage.

Section 10

Inspections, Maintenance, and Regulatory Responsibility

Inspection, maintenance, safety, and compliance information on the Website is general in nature.

Unless a signed agreement expressly assigns a specific responsibility to Sigma, the vehicle owner, motor carrier, fleet operator, lessee, and driver remain responsible for determining and satisfying all requirements applicable to their vehicles and operations, including:

  • Federal Motor Carrier Safety Regulations;
  • State and local inspection requirements;
  • Preventive-maintenance requirements;
  • Driver vehicle inspection reports;
  • Annual or periodic inspections;
  • Recordkeeping;
  • Defect reporting;
  • Out-of-service requirements;
  • Manufacturer requirements;
  • Contractual fleet standards;
  • Insurance requirements;
  • Customer-specific operating standards.

A Sigma inspection or repair does not relieve a motor carrier, owner, lessee, fleet operator, or driver of an independent legal or operational responsibility.

An inspection reflects the condition of the items examined at the time of inspection. It does not guarantee:

  • Future condition;
  • Freedom from latent or subsequently developing defects;
  • Continued roadworthiness;
  • Compliance after the vehicle leaves Sigma’s possession;
  • Acceptance by a regulator, customer, insurer, or third party.

Drivers and motor carriers must conduct required pre-trip, post-trip, and other operational inspections and must not operate a vehicle they know or reasonably should know is unsafe.

Section 11

Emergency and Roadside Requests

The Website is not an emergency-response service and may not be monitored continuously.

Submitting an emergency-service or roadside request through the Website does not guarantee immediate review or dispatch.

If an incident presents an immediate risk to life, health, property, traffic, or public safety:

  • Call 911 or the appropriate emergency authority;
  • Move to a safe location if it is legally and physically possible;
  • Follow law-enforcement, fire, emergency, and roadside-safety instructions;
  • Do not remain in an unsafe traffic location solely while awaiting a response from Sigma.

For urgent fleet-service assistance, call Sigma at 412-357-1000. Availability remains subject to location, staffing, equipment, weather, safety, and operating conditions.

Section 12

Accuracy of Submitted Information

You represent and warrant that information submitted through the Website is:

  • Accurate;
  • Current;
  • Complete;
  • Not misleading;
  • Lawfully obtained;
  • Submitted with proper authorization.

You are responsible for promptly correcting material inaccuracies.

Sigma may rely on submitted information when evaluating a service request, rental request, vehicle assignment, insurance requirement, payment authorization, or other transaction.

Sigma is not responsible for losses, delays, incorrect assignments, rejected claims, failed communications, or other consequences caused by inaccurate, incomplete, outdated, or unauthorized information.

Section 13

Documents and Uploaded Content

You may be permitted to upload photographs, videos, licenses, insurance certificates, vehicle records, repair documents, and other materials (“Submitted Content”).

You retain ownership of Submitted Content. By submitting it, you grant Sigma and its providers a nonexclusive, worldwide, royalty-free license to host, store, copy, process, analyze, transmit, and use it as reasonably necessary to:

  • Evaluate and fulfill the request;
  • Provide services;
  • Administer a rental;
  • Communicate with relevant parties;
  • Maintain records;
  • Process payments or claims;
  • Protect legal rights;
  • Meet legal and contractual obligations.

You represent that you have the right to provide the Submitted Content and authorize its use.

Do not submit:

  • Malicious code;
  • Unlawful content;
  • Material that infringes another party’s rights;
  • Information unrelated to the requested transaction;
  • Social Security numbers;
  • Account passwords;
  • Medical records;
  • Full payment-card information through a general contact field;
  • Trade secrets or highly confidential information unless Sigma has provided an approved secure method.

Information submitted through a general Website form is not subject to a confidentiality obligation beyond Sigma’s Privacy Policy and any applicable written agreement.

Section 14

Payment Authorizations

Where the Website permits payment-method submission or recurring billing, payment processing may be provided through Shopmonkey, Stripe, or their integrated payment services.

By providing a payment method or recurring-payment authorization, you represent that:

  • You are authorized to use the payment method;
  • The billing information is accurate;
  • Sigma may submit authorized charges under the applicable agreement;
  • The processor may securely retain payment credentials;
  • You will promptly update expired or inaccurate payment information.

Submitting a payment method does not itself establish the amount or validity of a charge. Charges remain governed by the applicable service authorization, invoice, rental agreement, payment authorization, or other contract.

You may not initiate an unjustified chargeback to avoid a valid contractual payment obligation. Nothing in these Terms eliminates any nonwaivable rights available under applicable payment laws.

Section 15

Electronic Communications and Signatures

You consent to receive communications electronically when you:

  • Submit a Website form;
  • Provide an email address or telephone number;
  • Request service or rental information;
  • Accept electronic documents;
  • Authorize electronic billing.

Electronic communications may include:

  • Submission confirmations;
  • Quotes and estimates;
  • Service approvals;
  • Rental documents;
  • Status updates;
  • Payment receipts;
  • Account notices;
  • Legally required disclosures.

Electronic signatures, acknowledgments, checkbox acceptances, and records may be used to the extent permitted by law.

You are responsible for maintaining a valid email address, telephone number, and the hardware and software needed to access electronic communications.

Operational, safety, billing, and contractual communications are not promotional messages and may continue while an active relationship or obligation exists.

Section 16

Privacy

Sigma’s collection and use of personal information is governed by its Privacy Policy, which is incorporated into these Terms by reference.

If these Terms conflict with the Privacy Policy regarding the treatment of personal information, the Privacy Policy controls unless a separate written agreement lawfully provides otherwise.

Section 17

Permitted Use

Sigma grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Website for legitimate business purposes consistent with these Terms.

No other rights are granted.

Section 18

Prohibited Conduct

You may not:

  • Use the Website for an unlawful, fraudulent, deceptive, or abusive purpose;
  • Misrepresent your identity, authority, insurance, business, vehicle, or intended use;
  • Submit false service, rental, payment, or insurance information;
  • Access another person’s information without authorization;
  • Interfere with Website security, operation, or availability;
  • Introduce malware, ransomware, viruses, or harmful code;
  • Circumvent access controls, rate limits, or security measures;
  • Probe, scan, or test vulnerabilities without Sigma’s written authorization;
  • Scrape, crawl, harvest, index, or extract Website content or data through automated means without written permission;
  • Use Website content or data to train an artificial-intelligence or machine-learning system without written permission;
  • Reverse engineer or attempt to discover source code;
  • Impersonate Sigma or another person;
  • Use Sigma’s name, logo, or content in a misleading manner;
  • Submit excessive, repetitive, or abusive requests;
  • Use the Website to compete with Sigma through unauthorized copying or data extraction;
  • Facilitate any third party’s prohibited conduct.

Sigma may suspend or block access, reject a request, preserve evidence, and refer suspected unlawful conduct to appropriate authorities.

Section 19

Intellectual Property

The Website and its content—including text, graphics, photographs, layouts, service descriptions, workflows, logos, trademarks, software, and design elements—are owned by Sigma or its licensors and are protected by intellectual-property laws.

“Sigma Fleet Services,” Sigma’s logos, and associated brand elements may not be used without Sigma’s prior written consent.

You may view and print reasonable portions of the Website for internal business evaluation. You may not reproduce, distribute, publicly display, modify, sell, license, create derivative works from, or commercially exploit Website content without written authorization.

Section 20

Feedback

If you provide an idea, suggestion, recommendation, or other feedback concerning the Website or Sigma’s services, you grant Sigma a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free right to use and commercialize the feedback without restriction or compensation.

Do not submit feedback you consider confidential or proprietary.

Section 22

Website Availability and Security

Sigma attempts to maintain a functional and secure Website but does not guarantee that it will be:

  • Continuously available;
  • Error-free;
  • Free from delays or interruptions;
  • Compatible with every browser or device;
  • Immune from unauthorized access or malicious code;
  • Accurate or current at every moment.

Sigma may suspend Website access for maintenance, security, updates, system failures, or other business reasons.

You are responsible for maintaining appropriate device, account, password, network, and cybersecurity protections.

Section 23

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

SIGMA DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES CONCERNING THE WEBSITE, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • TITLE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • COMPLETENESS;
  • AVAILABILITY;
  • SECURITY;
  • RELIABILITY;
  • ERROR-FREE OPERATION.

SIGMA DOES NOT WARRANT THAT WEBSITE CONTENT WILL IDENTIFY EVERY DEFECT, REQUIREMENT, RISK, COST, OR OBLIGATION RELEVANT TO A VEHICLE, RENTAL, FLEET, OR OPERATION.

THESE DISCLAIMERS APPLY TO THE WEBSITE. WARRANTIES, IF ANY, APPLICABLE TO A PARTICULAR SERVICE OR RENTAL ARE GOVERNED EXCLUSIVELY BY THE APPLICABLE SIGNED AGREEMENT.

Section 24

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGMA AND ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR ANY:

  • INDIRECT;
  • INCIDENTAL;
  • SPECIAL;
  • EXEMPLARY;
  • PUNITIVE;
  • CONSEQUENTIAL;
  • BUSINESS-INTERRUPTION;
  • LOST-PROFIT;
  • LOST-REVENUE;
  • LOST-DATA;
  • LOST-USE;
  • LOSS-OF-GOODWILL

DAMAGES ARISING FROM OR RELATING TO THE WEBSITE, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGMA’S TOTAL LIABILITY ARISING FROM OR RELATING TO THE WEBSITE WILL NOT EXCEED ONE HUNDRED DOLLARS.

This Website limitation does not replace a liability provision contained in a signed rental, maintenance, service, or fleet-program agreement. The signed agreement controls claims arising from services or vehicles governed by that agreement.

Nothing in these Terms limits liability that cannot lawfully be limited.

Section 25

Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Sigma and its owners, affiliates, officers, employees, contractors, providers, and agents from claims, liabilities, damages, judgments, penalties, losses, and reasonable legal expenses arising from:

  • Your misuse of the Website;
  • Your violation of these Terms;
  • False, inaccurate, incomplete, or unauthorized submissions;
  • Your violation of law or another party’s rights;
  • Submitted Content;
  • Use of the Website on behalf of an organization without authority;
  • Your fleet, vehicle, driver, insurance, or regulatory obligations.

This obligation does not require indemnification for liability finally determined to have resulted from Sigma’s gross negligence or willful misconduct to the extent such liability cannot lawfully be shifted.

Section 26

Separate Agreements Control

Formal rental, maintenance, repair, mobile-service, inspection, managed-fleet, payment, or other written agreements may contain additional or different terms.

If a signed agreement conflicts with:

  • These Terms;
  • General Website content;
  • Marketing materials;
  • A service description;
  • An informal communication,

the signed agreement controls the transaction it governs.

Purchase orders, onboarding forms, customer policies, portal terms, or other customer-generated documents do not modify Sigma’s terms unless Sigma expressly agrees in a signed writing.

Section 27

Force Majeure

Sigma is not responsible for delay, interruption, nonperformance, or unavailability caused by circumstances beyond its reasonable control, including:

  • Severe weather;
  • Fire;
  • Flood;
  • Natural disaster;
  • Accident;
  • Epidemic or public-health emergency;
  • Labor disruption;
  • Supply-chain interruption;
  • Parts shortage;
  • Utility or telecommunications failure;
  • Cyberattack;
  • Government action;
  • Road closure;
  • Civil disturbance;
  • War or terrorism;
  • Failure of a third-party provider.

This section does not excuse payment obligations for services or vehicles already provided.

Section 28

Suspension and Termination

Sigma may suspend, restrict, or terminate Website access at any time if Sigma reasonably believes:

  • These Terms have been violated;
  • Fraud or misuse has occurred;
  • Access creates a security, legal, or operational risk;
  • The user lacks proper authority;
  • Suspension is necessary to protect Sigma or another party.

Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.

Section 29

Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Section 30

Dispute Resolution and Venue

Before filing a lawsuit arising from these Terms or the Website, the complaining party must provide written notice describing:

  • The facts;
  • The legal basis for the claim;
  • The relief requested.

The parties will attempt in good faith to resolve the dispute for at least 30 days after receipt of notice.

If the dispute is not resolved, any action arising from or relating to these Terms or the Website must be brought exclusively in:

  • A state court of competent jurisdiction located in Allegheny County, Pennsylvania; or
  • The United States District Court for the Western District of Pennsylvania.

Each party consents to the personal jurisdiction of those courts and waives objections based on venue or inconvenient forum.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES THE RIGHT TO A TRIAL BY JURY IN AN ACTION ARISING FROM OR RELATING TO THESE TERMS OR THE WEBSITE.

A separate signed agreement may establish a different dispute-resolution procedure for the transaction it governs.

Section 31

Changes to These Terms

Sigma may revise these Terms periodically.

Updated Terms will be posted on the Website with a revised “Last Updated” date. Changes apply prospectively when posted unless a later date is stated.

Continued use of the Website after revised Terms become effective constitutes acceptance of the revised Terms. Material changes affecting an existing contractual relationship will not override a signed agreement unless made in accordance with that agreement.

Section 32

General Provisions

Entire agreement

These Terms and the Privacy Policy constitute the entire agreement concerning general Website use, except for a separate signed agreement governing a particular transaction.

Severability

If a provision is found unenforceable, it will be enforced to the maximum lawful extent, and the remaining provisions will remain effective.

No waiver

Failure to enforce a provision is not a waiver of the right to enforce it later.

Assignment

You may not assign rights or obligations under these Terms without Sigma’s prior written consent. Sigma may assign these Terms in connection with a reorganization, financing, sale, merger, or transfer of business assets.

No third-party beneficiaries

These Terms do not create rights for any third party.

Headings

Headings are provided for convenience and do not affect interpretation.
